These Terms and Conditions (“Terms”) govern your access to and use of Sky Ridge Farm websites (the “Sites”) and the services, features, communications, reservations, purchases, and other offerings made available through the Sites and on the Sky Ridge Farm property (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Definitions

“Sky Ridge Farm,” “we,” “us,” and “our” refer to (i) Sky Ridge Farm, LLC and (ii) Sky Ridge Brewing Company, LLC, and each of their owners, managers, officers, directors, employees, contractors, agents, affiliates, insurers, successors, and assigns (collectively, the “Company”). “You” and “Guest” mean any user, visitor, customer, purchaser, invitee, and/or person making or benefiting from a reservation or purchase.

“Services” includes our websites, booking and e-commerce services, communications, and on-property services. “Reservation” includes any booking for lodging, dining, tastings, experiences, events, day use, packages, and add-ons. “Property” means the Sky Ridge Farm premises, including accommodations, the Ridge House, Ridge Brewery (when open), farm areas, trails, wellness areas, parking, and any associated facilities.

Relationship to Privacy Policy

Our Privacy Policy describes how we collect, use, and disclose personal information. By using the Services, you acknowledge that you have read the Privacy Policy and agree that it is incorporated by reference into these Terms.

Eligibility; Accounts; Accuracy of Information

You must be at least 18 years old to use the Services. For compliance and guest experience, entry to Ridge Brewery (when open), participation in brewery tastings, and overnight lodging reservations are restricted to guests 21 years of age or older. Valid government-issued photo identification may be required.

You agree to provide accurate, current, and complete information and to promptly update it. If account creation is offered, you are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

Reservations, Purchases, and Payment Processing

Reservations may be processed through our booking platform, NewBook (“NewBook”), and payments may be processed through NewBook Payments and its affiliated payment processing partners (collectively, “NewBook Payments”). Your use of NewBook and NewBook Payments may also be subject to their terms and policies. You authorize us and our processors to charge the payment method you provide for all amounts due, including taxes, fees, deposits, add-ons, and any authorized incidentals.

You agree to make only legitimate reservations in good faith for use by you and your invited guests, and not for purposes including reselling, impermissibly assigning, posting on third-party websites, making speculative reservations, or making false or fraudulent reservations. We may cancel or refuse reservations that appear fraudulent, abusive, or inconsistent with these Terms.

We do not guarantee that all content on the Services is free from inaccuracies. We reserve the right to correct errors in pricing, availability, descriptions, and other content, and to cancel or modify a transaction where it resulted from a mistake or error, including after confirmation, to the extent permitted by law.

Rates, Taxes, Fees, Deposits, and Incidentals

Rates are displayed at booking and may vary by date, accommodation type, package, and availability. Rates may exclude taxes and fees unless stated otherwise. We may require deposits or full prepayment. We may authorize a security deposit or incidental hold on your payment method. You are responsible for incidentals, additional charges you authorize, and amounts due for damage, missing items, excessive cleaning, policy violations, or other charges permitted by law and disclosed in your booking terms.

Cancellation, Refunds, No-Shows, and Changes

Cancellation and refund terms depend on the rate, package, promotion, and dates selected at checkout. The applicable cancellation and refund terms are displayed at booking and included in your confirmation. If there is any conflict between these Terms and the terms disclosed at checkout for a specific Reservation, the checkout terms control for that Reservation to the extent permitted by law.

No-shows and early departures may be treated as non-refundable as disclosed at booking. Changes and rescheduling are subject to availability and may incur fees, administrative charges, and/or rate differences. Where rescheduling is offered for a given rate plan, requests must be made within the rescheduling window disclosed at checkout or in your confirmation, and the rescheduled reservation will be subject to the terms, pricing, and policies applicable to the new dates.

Unless a specific offer expressly states otherwise, we do not use blackout dates as a standard practice; however, all offerings remain subject to capacity limits, minimum stays, and operational constraints.

Preopening Sales, VIP Windows, Promotional Offers, and Gift Cards

From time to time, we may offer preopening sales windows, VIP offers, promotional packages, or credits. Unless otherwise stated at purchase, promotional offers may be non-refundable and subject to capacity limits, minimum stay rules, and expiration. We may void promotions obtained through fraud or misuse.

Gift cards, memberships, or similar stored-value products may be offered in the future; if offered, they will be governed by the terms disclosed at purchase and applicable law.

On-Property Rules; Safety; Assumption of Risk

Sky Ridge Farm is a working commercial farm and mountain property of approximately 88 acres with natural terrain, uneven surfaces, decomposed granite (DG), gravel, rocks, slopes, ridgelines, drop-offs, farm equipment in designated areas, water features, open flames, weather exposure, and inherent rural risks. You assume all risks of visiting and using the Property and participating in any on-site activity, including risks of injury, illness, allergic reactions, slips and falls, sun and heat exposure, storms, and wildlife encounters (including snakes).

Wildlife and night safety: Sky Ridge includes approximately 50 undeveloped acres, abuts additional undeveloped acreage, and is surrounded by protected wild lands. Encounters with wildlife are possible, particularly after dark. Guests should remain alert, stay within designated areas, and keep pets controlled and indoors overnight.

You agree to follow posted rules, staff directions, and safety guidance. We may refuse service, remove persons from the Property, or terminate a Reservation for safety, security, policy violations, disruptive conduct, intoxication, trespass into restricted areas, or failure to comply with these Terms.

Waiver required: As a condition of entry and participation, you agree to the Company’s Guest Waiver and Release of Liability (Schedule B) and acknowledge that you may be required to execute additional waivers for specific Activities (including wellness amenities and events).

Wellness, Sauna, Cold Plunge, Outdoor Shower, and Bodywork Services

Wellness amenities (including sauna, cold plunge, outdoor shower, and any massage/bodywork bungalow services) are used at your own risk. We may require a signed waiver and a health acknowledgment/screening as a condition of participation.

Consult a physician before participating if you are pregnant, have cardiovascular conditions, are under medical care, or have any condition that could be affected by heat, cold, exertion, or immersion. You are responsible for disclosing relevant health conditions to providers where applicable.

Private reservations and open-use periods may apply, and availability may vary by day and season. Additional rules may apply for safety.

Alcohol; Brewery and Tastings

Ridge Brewery is part of Sky Ridge Farm’s long-term buildout and is currently expected to open in late 2026. Once open, Ridge Brewery will welcome both the public and overnight guests, subject to capacity, hours, and reservation requirements for certain experiences.

Alcohol may be served only to persons 21 years of age or older with valid identification. We reserve the right to refuse alcohol service, limit service, or remove guests for safety or compliance. You agree not to operate a vehicle or equipment while impaired. Additional tasting rules, hours, and access conditions may apply.

Photography, Filming, and Publicity

We may photograph or record certain areas of the Property for safety, security, and marketing. By visiting the Property, you grant us permission to use your likeness, voice, and image captured on the Property for marketing and operational purposes without compensation, unless you submit an opt-out request in writing to [email protected] prior to capture where practicable (opt-outs do not apply to security footage or where you are incidentally included in a public scene).

Commercial shoots, drones, and professional equipment require prior written permission. You are responsible for ensuring you have consent to record others and for complying with applicable law.

Intellectual Property; Permitted Use

The Sites and their content, including text, images, video, logos, trademarks, design, and software, are owned by or licensed to us and are protected by intellectual property laws. You may use the Sites for personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, scrape, or exploit the Sites or content without our prior written consent.

User Content; Reviews; Submissions

f you submit reviews, feedback, ideas, suggestions, photos, videos, or other content (collectively, “Submissions”), you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, modify, publish, translate, distribute, and display such Submissions in any media for lawful purposes, including marketing and operations.

You understand that Submissions are not confidential and that we have no obligation to compensate you for them. You represent that you have the rights necessary to provide the Submissions and that they do not violate any law or third-party rights.

Prohibited Conduct

You agree not to: (a) violate any law; (b) harass, threaten, or harm others, including our employees, contractors, or guests; (c) interfere with the Services, systems, or security; (d) attempt unauthorized access; (e) use the Services for fraudulent purposes; (f) bring prohibited items onto the Property; (g) trespass into restricted areas; (h) make speculative, false, or fraudulent reservations; (i) resell or impermissibly assign reservations; or (j) engage in any conduct that we determine, in our sole discretion, is unsafe, disruptive, or inconsistent with the intended guest experience.

We may monitor and review information associated with the Services to protect the Company, our guests, and our Property, to the extent permitted by law.

Accessibility

Sky Ridge Farm offers a limited number of accessibility-friendly suites, and key guest hubs like the Ridge House and Ridge Brewery (when open) are designed to be accessible.

However, Sky Ridge is a working commercial farm integrated across a large mountain property. Due to natural terrain, uneven pathways, and the distributed placement of accommodations and experiences, mobility across the broader farm is not wheelchair accessible. If you have mobility considerations, please contact us before booking so we can recommend the most suitable accommodation and help plan the most comfortable routes for your visit.

Third-Party Services and Links

The Services may include third-party tools, integrations, and links (including NewBook and NewBook Payments). We do not control third parties and are not responsible for their acts or omissions. Your use of third-party services is at your own risk and subject to their terms and policies.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, SITES, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, accurate, complete, or error-free, or that the Property will be free from hazards inherent to a rural mountain farm environment. By using the Services and visiting the Property, you assume all risk of loss that may arise or be associated with that use or visit.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICES, RESERVATIONS, PURCHASES, OR YOUR VISIT TO THE PROPERTY, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM RELATED TO THE SERVICES OR A RESERVATION WILL BE LIMITED TO REIMBURSEMENT OF THE CHARGES PAID BY YOU FOR THE SPECIFIC RESERVATION OR PURCHASE AT ISSUE. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US FOR THE TRANSACTION GIVING RISE TO THE CLAIM, EXCEPT WHERE A HIGHER LIMIT IS REQUIRED BY LAW.

Limitations period: To the fullest extent permitted by law, any claim or action arising out of or relating to the Services, these Terms, a reservation, purchase, visit, or stay must be commenced within one (1) year from the occurrence of the facts giving rise to the claim, or the claim will be barred.

Indemnification

You agree to defend, indemnify, and hold harmless Sky Ridge Farm and its owners, affiliates, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys fees) arising out of or relating to your use of the Services, your violation of these Terms, your conduct on the Property, or your infringement of any intellectual property or other rights of any person or entity.

Dispute Resolution; Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Binding arbitration: Except for disputes involving the ownership, validity, or use of the Company’s trademarks, service marks, or other intellectual property rights, and except for claims that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any reservation or purchase, or your visit to the Property (each, a “Dispute”) will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will take place in San Diego County, California, unless the parties agree otherwise.

Confidentiality: Other than as may be required by law, the arbitration proceedings, including rulings, decisions, and orders, will remain confidential and not be disclosed to anyone other than the parties.

Class action waiver; jury trial waiver: You and the Company waive any right to a jury trial and agree that Disputes may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You agree you will not file or participate in class arbitration or a class action against the Company.

Injunctive relief: The Company may seek temporary restraining orders, preliminary injunctive relief, and/or equitable relief from a court of competent jurisdiction located in San Diego County, California, to protect its intellectual property, confidential information, or to prevent fraud or unauthorized access, without waiving arbitration for other Disputes.

Force Majeure

We are not responsible for delays, cancellations, service interruptions, or inability to perform due to events beyond our reasonable control, including natural disasters, wildfire, smoke, government orders, public health emergencies, utility outages, severe weather, labor shortages, or acts of terrorism. Where feasible, we will communicate alternatives or rescheduling options consistent with the applicable booking terms and law.

Changes to Services; Updates to Terms

We may modify or discontinue all or part of the Services at any time. We may update these Terms by posting a revised version on the Sites. Changes are effective when posted. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

PLEASE READ CAREFULLY. THIS IS A RELEASE OF LIABILITY AND WAIVER OF CERTAIN LEGAL RIGHTS.

This Guest Waiver and Release of Liability (“Waiver”) is entered into by the undersigned guest (“Guest,” “I,” “me,” or “my”) in favor of Sky Ridge Farm, LLC and Sky Ridge Brewing Company, LLC, and each of their owners, managers, officers, directors, employees, contractors, volunteers, agents, affiliates, insurers, successors, and assigns (collectively, the “Released Parties”).

Scope: Sky Ridge Farm is a working commercial farm and hospitality property of approximately 88 acres with natural and improved areas, including but not limited to farm fields, orchards, trails, uneven ground, decomposed granite (DG), gravel, rocks, slopes, ridgelines, edges/drop-offs, steps, decks, outdoor lighting, water features/ponds, fire features, dining areas, the Ridge House, Ridge Brewery (when open), and wellness areas. Activities may include agritourism, dining, tastings, brewery experiences, wellness activities (sauna, cold plunge, outdoor shower, massage/bodywork), hiking, stargazing, events, and general visiting or overnight lodging (collectively, the “Activities”).

Assumption of risk: I knowingly and voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, arising from or related to my presence on the Property and participation in any Activities, including risks from falls and slips (including on DG and wet surfaces), cliffs/edges, weather (sun, heat, wind, rain, storms, low visibility), plants and allergens, insects, and wildlife (including snakes), as well as risks associated with alcohol, sauna/cold plunge, and bodywork.

Release: To the fullest extent permitted by California law, I release and discharge the Released Parties from any and all claims arising out of or relating to my visit or participation, except to the extent caused by the Released Parties’ gross negligence, willful misconduct, or fraud.

California Civil Code §1542 waiver: I expressly waive and relinquish any rights under California Civil Code §1542 regarding unknown or unsuspected claims.

Indemnity: I agree to indemnify and hold harmless the Released Parties from claims arising from my acts or omissions, including rule violations, trespass into restricted areas, damage, or injury to others, to the fullest extent permitted by law.

Medical: If I require medical assistance, I authorize the Company to obtain emergency care at my expense. I understand on-site medical services are not guaranteed.

Dispute resolution: Any dispute relating to this Waiver will be resolved pursuant to the arbitration and class action waiver provisions in these Terms.

Acknowledgment: By signing or electronically accepting, I acknowledge I have read and understand this Waiver and am giving up substantial legal rights.

Key rules may include: no smoking/vaping where prohibited; respect quiet hours; no open flames except in designated areas; follow farm and trail boundaries; do not disturb wildlife; comply with alcohol rules; do not harass staff or guests; and comply with all posted safety guidance.
